By accessing or using the Compendium platform ("Service"), you ("Client" or "User") agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
Compendium is a cloud-based wealth intelligence platform designed for high-net-worth individuals, families, and family offices. The Service provides tools for:
3.1 You must provide accurate, complete, and current information during registration.
3.2 You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify Compendium at admin@thecompendiumco.com if you suspect unauthorized access to your account.
3.3 You are responsible for all activity that occurs under your account.
3.4 Compendium offers optional two-factor authentication (2FA). For accounts managing high-value assets, we strongly recommend enabling 2FA.
4.1 Fees. Access to the Service requires a paid subscription. Current pricing is available at thecompendiumco.com/pricing.
4.2 Billing. Subscriptions are billed monthly or annually in advance. All fees are in U.S. dollars.
4.3 Auto-Renewal. Subscriptions automatically renew unless cancelled at least 30 days before the renewal date.
4.4 Late Payment. Accounts more than 15 days past due may be suspended. Accounts more than 30 days past due may be terminated.
4.5 No Refunds. All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement.
4.6 Price Changes. Compendium may modify pricing with 60 days written notice. Continued use of the Service after the effective date constitutes acceptance.
You agree not to:
6.1 Compendium's collection and use of personal data is governed by our Privacy Policy, incorporated herein by reference.
6.2 You retain ownership of all data you submit to the Service ("Client Data"). You grant Compendium a limited license to process Client Data solely to provide the Service.
6.3 Compendium will not sell Client Data to third parties.
6.4 You represent that you have all necessary rights to submit Client Data to the Service.
The Service may integrate with third-party services (QuickBooks, Plaid, Stripe, etc.). Your use of these integrations is subject to the respective third-party terms of service. Compendium is not responsible for the acts or omissions of third-party services.
All rights, title, and interest in and to the Service, including all software, designs, trademarks, and content, are owned exclusively by Compendium Wealth Intelligence, LLC. These Terms do not grant you any rights to Compendium's intellectual property except the limited right to use the Service as described herein.
Each party agrees to maintain the confidentiality of the other party's non-public information and to use it only for purposes of these Terms. This obligation survives termination.
10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
10.2 COMPENDIUM DOES NOT PROVIDE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE. DATA AND ANALYTICS PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY.
10.3 COMPENDIUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPENDIUM'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL COMPENDIUM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless Compendium and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13.1 Either party may terminate these Terms upon 30 days written notice.
13.2 Compendium may suspend or terminate your access immediately for material breach, non-payment, or conduct that poses a security risk.
13.3 Upon termination, you may export your data within 30 days. After this period, Compendium may delete your data in accordance with our Data Retention Policy.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, in Collier County, Florida.
Compendium may update these Terms at any time. We will notify you by email and by posting the updated Terms at thecompendiumco.com/legal. Continued use of the Service after the effective date constitutes acceptance.
